Conditions of carriage

These conditions of carriage (these "Conditions of Carriage") apply to any Flight made with an Aircraft operated by Alpes Hélicoptères,
and govern the Contract of Carriage.

1. Definitions and interpretation

In these Conditions of Carriage (as well as in the Notice to Passengers and the Summary of the provisions on the carrier's liability
to Passengers and their Baggage as set out below), capitalised terms have the following meaning:

"Aircraft" means any aircraft operated by Alpes Hélicoptères to perform the Flight(s).

"Alpes Hélicoptères" means Alpes Hélicoptères, a French limited liability company registered under number 828 289
017 and having its registered office at Annecy Airport, 8 route de Côte Merle, Hangar FL250, 74370 Epagny Metz-Tessy, France.

"Baggage" means the baggage and personal effects of each Passenger (in particular those necessary or intended for his/her clothing,
use, comfort or convenience during his/her journey). Unless otherwise specified, this term refers to both the Passenger's checked and
unchecked baggage.

"Customer" means the natural or legal person who books the Flight(s) on his/her own behalf as a Passenger or on behalf
of a third party Passenger(s).

"Contract of Carriage" means the contract of carriage between Alpes Hélicoptères and the Customer relating to the Flight(s), consisting of the Flight Confirmation
and these Conditions of Carriage.

"Flight Confirmation" means the confirmation of the Flight or series of Flights delivered/sent to the Customer by Alpes Hélicoptères.

"Montreal Convention" means the Convention for the Unification of Certain Rules for International Carriage by Air, signed on 28
May 1999, as amended or supplemented from time to time.

"Warsaw Convention" means the Convention for the Unification of Certain Rules Relating to International Carriage by Air, signed on October 12
1929, as amended or supplemented from time to time.

"Damage" means any damage, loss, cost, surcharge, fine, penalty, expense, claim, delay, accident, injury
, death or other loss.

"PNR Data" means Passenger Name Record data, including in particular the Customer's name (as the person providing
the information and/or making the booking) and the Passengers' names, gender, address, date and place of birth,
passport details (nationality, number and expiry date), their telephone number, the contact details of the person to be contacted in the event of
an emergency, the date of the reservation, their travel itinerary, information about their Baggage(s) and any changes to the above
.

"SDR" means Special Drawing Right as defined by the International Monetary Fund. The SDR exchange rate into national currencies
and Euros can be consulted on the following website: https: //www.imf.org/external/np/fin/data/rms_five.aspx.

"Premises" means the premises of Alpes Hélicoptères located at Annecy Airport, 8 route de Côte Merle, Hangar FL250, 74370 Epagny Metz-Tessy,
France (or at any other address that Alpes Hélicoptères may subsequently determine).

"Passenger" means any person, other than crew members, carried or to be carried on board an Aircraft
operated by Alpes Hélicoptères with the consent of Alpes Hélicoptères.

"Price" means the price indicated in the Flight Confirmation (or on the Website, in the case of an Internet Flight).

"Owner" means the owner of the Aircraft.

"EC Regulation" means Council Regulation (EC) No. 2027/97 of October 9, 1997 on air carrier liability
in respect of the carriage of passengers and their baggage by air, as amended by Regulation (EC) No. 889/2002 of the European Parliament
and of the Council of May 13, 2002, as amended or supplemented from time to time.

"Web Site" means the Alpes Hélicoptères web site, accessible at the following address: www.alpes-helico.com (or any other address
chosen by Alpes Hélicoptères). The Web Site and all related rights are the property of Alpes
Hélicoptères.

"Flight(s)" means the flight or series of flights operated by Alpes Hélicoptères and made from the point of departure to the final destination, as
indicated in the Flight Confirmation (and on the Internet Site, in the case of an Internet Flight). This definition includes panoramic flights,
gastronomic flights and introductory flights, but excludes training flights.

"Internet Flight" means a Flight for which the Price is indicated on the Web Site and which can be booked directly on the Web Site
(with online payment of the Price).

1.2 Where the context allows, the singular includes the plural and vice versa, and the masculine includes the feminine.

1.3 Unless expressly provided otherwise, the term "or" is not exclusive and the terms "include", "including", "in particular", "including" and "in
particular" are for illustrative purposes only (and are not limitative).

2. Flight(s) booking

2.1 Internet flights

2.1.1 The booking process for Internet Flights is as follows:
(i) The Customer selects the desired Internet Flight on the Web Site and purchases the Internet Flight directly on the Web Site. The Customer may also
purchase the Internet Flight by telephone or by visiting the Premises (in both cases, the Customer must sign
a first Flight Confirmation when purchasing the Internet Flight; in the case of a telephone purchase, the Flight Confirmation for
is sent to the Customer for signature immediately after the telephone conversation).

(ii) The Price, which is applicable for a single Passenger, is payable by credit card, bank transfer, cheque (drawn on a French bank account
and made payable to Alpes Hélicoptères) or cash (within the limits provided for by applicable regulations) at
at the time of purchase of the Internet Flight on the Web Site, by telephone or at the Premises.

(iii) The Contract of Carriage is concluded at the time of purchase of the Internet Flight on the Web Site, by telephone or in the Premises, of
receipt by Alpes Hélicoptères of the full Price and, in the case of Internet Flights purchased by telephone or in the Premises, of
signature of the first Flight Confirmation by the Customer (this Flight Confirmation must have been received by Alpes Hélicoptères).

(iv) The Internet Flight must be completed within twelve (12) months from the date of purchase of the Internet Flight online, by telephone
or at the Premises (but in any event only after receipt by Alpes Hélicoptères of the full Price).

(v) The Customer must agree the date of the Internet Flight with Alpes Hélicoptères, depending in particular on the weather conditions,
the availability of the Aircraft and how full it is.

(vi) Once the parties have agreed on the date of the Internet Flight, Alpes Hélicoptères sends a (second) Flight Confirmation to
summarizing the details of the Internet Flight. This Flight Confirmation does not require the Customer's approval.

2.1.2 By booking the Internet Flight on the Web Site, by telephone or at the Premises, the Customer accepts the terms of these Conditions of Carriage
and confirms that it has submitted to the Passengers these Conditions of Carriage (as well as the Notice to Passengers and the Summary of the provisions on the air carrier's
liability towards the Passengers and their Baggage as set out below) and that the Passengers
accept the terms thereof. The Customer warrants and guarantees that the Passengers will comply with the terms of the Contract of Carriage (and the Notice to
Passengers and the Summary of the provisions concerning the air carrier's liability for Passengers and their Baggage as
set out below).

2.1.3 All Internet Flights purchased by the Customer are neither modifiable nor refundable. The Customer has no right of retraction.

2.1.4 If the Internet Flight is not completed within twelve (12) months from the date of purchase of the Internet Flight online, by telephone or
at the Premises, the Customer loses the right to request the completion of the Internet Flight and the Price remains the property of Alpes Hélicoptères.

2.1.5 The Customer and Passengers acknowledge and accept that Internet Flights are not private and are shared with other passengers in order
to fill the Aircraft. The minimum number of passengers required to make an Internet Flight is set for each Aircraft by Alpes
Hélicoptères at its sole discretion.

2.1.6 The images shown on the Website are not contractual.

2.2 Other flights

2.2.1 The booking process for Flights other than Internet Flights is as follows:
(i) The Customer contacts Alpes Hélicoptères (in particular by telephone, email or via any dedicated form on the Website) and provides
Alpes Hélicoptères with all the information required by the latter (in particular the departure and arrival points, the date of the flight, the
number, size and weight of the Passengers as well as the number of Baggage required) in order to draw up a quotation (which may be
oral or written).

(ii) No quotation shall constitute an offer to contract, the conclusion of the Contract of Carriage being conditional upon the Customer's acceptance of
Flight Confirmation (and any other condition precedent which may appear in these Conditions of Carriage or
Flight Confirmation).

(iii) Once the Customer has confirmed (orally or in writing) that the quotation is acceptable, Alpes Hélicoptères sends a Flight Confirmation
to the Customer for acceptance.

2.2.2 By signing the Flight Confirmation (by hand or by using an electronic signature, for example via DocuSign) or by
accepting it in any other way (in particular by confirming the Flight(s), whether orally or in writing, and/or by paying
the Fare), the Customer accepts the terms of these Conditions of Carriage and confirms that it has submitted to the Passengers the Flight Confirmation and these
Conditions of Carriage (as well as the Notice to Passengers and the Summary of the provisions on the air carrier's liability with regard to
the Passengers and their Baggage as set out below) and that the Passengers accept the terms of these documents. The Customer ensures
and is responsible for the Passengers' compliance with the terms of the Contract of Carriage (and the Notice to Passengers and the Summary of the provisions on
the air carrier's liability towards Passengers and their Baggage as set out below).


2.2.3 Notwithstanding the foregoing, Alpes Hélicoptères has the right, at its sole discretion and on a case-by-case basis, to refuse any form of acceptance of a
Flight Confirmation other than the signature thereof by the Customer. In such a case, the entry into force of the Contract of Carriage is subject to
the condition precedent of receipt by Alpes Hélicoptères of the Flight Confirmation duly signed by the Customer, and Alpes Hélicoptères
reserves the right to withdraw and cancel the Flight Confirmation at any time if the aforementioned condition is not satisfied immediately
after the Flight Confirmation has been sent to the Customer (for signature).


2.2.4 Unless expressly provided otherwise in the Flight Confirmation, the Customer must pay the Price to Alpes Hélicoptères within twenty-four
(24) hours of receipt of the corresponding invoice from Alpes Hélicoptères (the "Invoice") and, if the Invoice was sent before
the start of the first Flight, in any case before the positioning of the Aircraft for this first Flight. The Price is payable by credit card or
by bank transfer.


2.3 At any time after the Customer's acceptance of the Flight Confirmation (in particular before the Invoice is issued), Alpes Hélicoptères is
entitled, at its sole discretion, to require that payment of the Price be guaranteed by credit card.

3. Prices and payment terms

3.1 The Price includes only:
(i) handling;
(ii) landing and overflight taxes;
(iii) parking fees;
(iv) fuel; and
(v) crew stopover expenses.


3.2 The Price does not include any additional services (the "Additional Services"), in particular:
(i) the reservation of any meal (in particular in a restaurant) during any stopover, unless the contrary is expressly
indicated in writing by Alpes Hélicoptères at the time of the reservation of the Flight(s) by the Customer (in such a case, only the service of
reservation is included, but not the price of the meal itself);

(ii) any catering required on board by the Customer or Passengers;

(iii) any change of departure airport, departure time, arrival airport, arrival time or itinerary;

(iv) de-icing (including ferry flights for positioning and repositioning the aircraft);

(v) additional insurance premiums (in particular for war risk insurance or for coverage in a country
excluded from the aircraft's insurance coverage);

(vi) satellite telephone communications and use of the Internet (if possible on board the aircraft);

(vii) access to airport VIP lounges;

(viii) ground transportation (including cab, limousine or car rental) ;

(ix) the reservation of accommodation; and
(x) all other services which are not expressly indicated in the Flight Confirmation (or on the Web Site, in the case of
Internet Flights) as being included in the Price.

3.3 Additional Services will be invoiced to the Customer in addition to the Price and must be paid by the Customer by credit card or by
bank transfer upon receipt of the corresponding invoices issued by Alpes Hélicoptères. For meals (other than on board
l'Aéronef), accommodation and ground transportation booked by Alpes Hélicoptères for the Customer, the Customer shall pay
directly (subject to express agreement to the contrary between the Customer and Alpes Hélicoptères on a case-by-case basis).

3.4 Unless expressly stated otherwise in the Flight Confirmation (or on the Web Site, in the case of Internet Flights), the Price does not include
value added tax, nor any other tax or fee that a State may impose on the Price (and/or on the other
amounts due by the Customer and/or the Passengers under the Contract of Carriage) or in connection with the Flight(s). The Customer agrees to
bear (and, if applicable, to reimburse Alpes Hélicoptères for) all such taxes and fees.

3.5 Unless expressly provided otherwise in these Conditions of Carriage, the Customer may not claim any reduction or reimbursement
of the Price (or any part thereof) for any reason whatsoever. The Price is a fixed price, subject to any increase provided by
the provisions of the Contract of Carriage.

3.6 Unless otherwise expressly stated by Alpes Hélicoptères, all payments must be made in Euros.

3.7 In the event of payment (or guarantee) of the Price or any other amount by credit card:
(i) the credit card must bear the CB logo and not be of the "American Express" type; and
(ii) the credit card must be in the Customer's name.

3.8 All payments due by the Customer or the Passengers under the Contract of Carriage must be made without any reduction,
compensation, claim or deduction of any kind whatsoever. Unless otherwise expressly provided in these Conditions of Carriage,
any amount payable by the Customer or Passengers is due and payable immediately upon demand by Alpes Hélicoptères.

3.9 In the event of late payment of any amount due (including the Price) by the Customer and/or the Passengers under the Contract of Carriage,
default interest at the rate of ten percent (10%) per annum will be due from the first day of delay (without the need for any formal notice from
Alpes Hélicoptères) until the date of actual payment (and this, before and after any legal proceedings or
enforcement). In addition, the Customer and/or the Passengers (as the case may be) shall indemnify Alpes Hélicoptères for exchange losses,
court costs, attorney's fees and any other Damages suffered by Alpes Hélicoptères in connection with such late payment. Without
prejudice to the generality of the foregoing, Alpes Hélicoptères is entitled, at its sole discretion, to treat any delay in
payment of the Price (and/or the Customer's refusal to immediately guarantee payment of the Price by credit card) as a cancellation
entitling Alpes Hélicoptères to payment of the amounts set forth in Article 7 (including the applicable Cancellation Fees (as defined in
Article 7)).

4. Alpes Hélicoptères services

4.1 Alpes Hélicoptères undertakes to use reasonable efforts to ensure the transportation of Passengers and their Baggage from the point of
departure to the final destination as indicated in the Flight Confirmation.

4.2 If restaurant, accommodation or ground transportation is booked at the Customer's request, Alpes Hélicoptères acts in
this capacity as the Customer's direct agent and representative, and enters into any contract with third party service providers (a "
Service Agreement") in the name and on behalf of the Customer, without any liability whatsoever to the Customer and/or the Passengers. The Customer shall pay
directly to the Third Party Providers (subject to express agreement to the contrary between the Customer and Alpes Hélicoptères on a case-by-case basis).

5. Obligations of the Customer and Passengers

5.1 The Customer must communicate to Alpes Hélicoptères the identity of all Passengers and all other PNR Data and documents required by
Alpes Hélicoptères, sufficiently in advance of the first Flight (in the case of an Internet Flight, this communication must take place
before the (second) Flight Confirmation is sent by Alpes Hélicoptères). In the event of the Customer's failure or delay in fulfilling this
obligation, for whatever reason, Alpes Hélicoptères is entitled, at its sole discretion, to treat such failure or delay as
a cancellation entitling Alpes Hélicoptères to payment of the amounts provided for in Article 7 (including the applicable Cancellation Fees
).


5.2 Alpes Hélicoptères reserves the right to carry out identity checks on the Customer and/or
Passengers at any time.


5.3 At the time of acceptance of the Flight Confirmation (or, in the case of an Internet Flight, at the time of purchase on the Web Site, by
telephone or at the Premises), the Customer must notify Alpes Hélicoptères of any particular need for assistance on the part of the Passengers. Alpes
Hélicoptères may accept or refuse such assistance at its sole discretion.


5.4 Passengers with reduced mobility must be accompanied by an attendant, and travel under the attendant's responsibility. Subject to
agreement to the contrary by Alpes Hélicoptères (which may in particular require a parental release), Passengers under the age of 18 must be
accompanied by their legal representative or by another person of legal age designated in writing by the latter, and travel under the
responsibility of this accompanying person.


5.5 Smoking is strictly prohibited on board the aircraft.


5.6 Passengers must keep their cell phones (and any other electronic devices) switched off on board the Aircraft.


5.7 Subject to the prior written agreement of Alpes Hélicoptères:
(i) pregnant women and new-born babies are not admitted as Passengers;

(ii) animals are not admitted on board the Aircraft; and

(iii) the Customer and Passengers must not publish in any form (including on any social network or in any media) the photos,
videos or sound recordings made before, during or after each Flight in connection with it.

5.8 Passengers must place themselves in the Aircraft in accordance with the captain's instructions, taking into account
the weight and height of each Passenger.

5.9 Passengers must ensure that their state of health allows them to make each Flight, taking into account that
most Flights take place at altitude (up to approximately 4,000 meters) and that the Aircraft cabin is not pressurized. In case of
doubt, Passengers should seek the advice of their attending physician. Alpes Hélicoptères may at any time and at its sole discretion require
the production of a medical certificate of no contraindication to Flight(s).

5.10 The Customer and Passengers must comply with all laws, regulations and directives of the States of departure, destination and overflight
(in particular immigration or customs regulations) and with all rules, directives and instructions issued by
airport authorities and/or Alpes Hélicoptères (in particular in relation to the embarkation and disembarkation of Passengers). In
particular, it is the sole responsibility of Passengers to hold valid identification, to obtain a visa where applicable and to
ensure the accuracy and validity of any required documents. If a Passenger does not obtain the aforementioned documents or does not comply
with the aforementioned laws, regulations, directives, rules or instructions, Alpes Hélicoptères cannot be held responsible for any
consequences suffered by the Passenger as a result. The Customer undertakes to pay and reimburse Alpes Hélicoptères for any additional costs (such as
surcharges, fines and penalties) resulting from any Passenger's failure to comply with the aforementioned obligations.

5.11 Passengers must submit to any inspection of their Baggage by customs or any other authority. Alpes Hélicoptères shall not be
liable to Passengers or the Customer for any Damage suffered by Passengers or the Customer resulting, directly or
indirectly, from such inspection or from the refusal of any Passenger to submit to such inspection.

5.12 The airport of departure, the time of departure, the airport of arrival and the time of arrival, as indicated in the Flight Confirmation, as well as
the itinerary, may not be modified by the Customer and/or the Passengers, subject to the prior written agreement of Alpes Hélicoptères (and not
that of the crew of the Aircraft). In the event of a modification accepted by Alpes Hélicoptères, the Customer must pay Alpes Hélicoptères all
resulting additional costs.

6. Luggage

6.1 Passengers must not include in their Baggage the following objects ("Excluded Objects"):
(i) objects which do not constitute Baggage as defined in Article 1;

(ii) objects likely to constitute a danger to the Aircraft, persons or property on board the Aircraft or on the ground, in particular
explosives, pressurized gases and corrosive, oxidizing, radioactive, magnetized, flammable, toxic or
irritating substances;

(iii) items whose transportation is prohibited under the laws, regulations and directives of the States of departure, destination and/or
overflight;

(iv) items whose weight, volume, size or nature make them unsuitable for air transport, due to the capacity of
the Aircraft, the manufacturer's technical or safety standards or the opinion of Alpes Hélicoptères; and

(v) items listed as dangerous goods and prohibited items on the Website.

6.2 If a Passenger is in possession of, or their Baggage contains, any of the following items ("Weapons"):
(i) weapons of any kind, in particular handguns or sprays used for offensive or defensive purposes;

(ii) ammunition and explosives; or
(iii) objects which, judging by their appearance, resemble weapons, ammunition or explosives,5
the Customer must inform (or ensure that the Passenger informs) Alpes Hélicoptères in writing at the time of signature (or
acceptance in another form) of the Flight Confirmation and the Passenger must submit such Weapons to Alpes Hélicoptères for inspection
prior to embarkation of the Baggage. Alpes Hélicoptères may, at its sole discretion, refuse to carry any Weapon. Weapons are
prohibited for Internet Flights.

6.3 Alpes Hélicoptères has the right to search Passengers and/or their Baggage in order to determine whether Passengers are in
possession of, or whether their Baggage contains, Excluded Items or Weapons. In the event of a Passenger's refusal to submit to such a
search, Alpes Hélicoptères may, at its sole discretion, refuse to transport the Passenger and/or his/her Baggage and treat the Passenger's refusal
as a cancellation of the Flight(s) entitling Alpes Hélicoptères to payment of the amounts provided for in Article 7 (including the applicable Cancellation Fees
). Furthermore, Alpes Hélicoptères shall not incur any liability towards Passengers or the Customer for any
Damage resulting from such refusal by the Passenger.

7. Delay and cancellation

7.1 Passengers must arrive at the airport early enough to be ready (and on board with their Baggage) at the time of departure of the
Flight (and in any case at least fifteen (15) minutes early). In the event of delay (or no-show) by Passengers for any reason whatsoever
, Alpes Hélicoptères is entitled, at its sole discretion, to treat such delay as a cancellation of the Flight(s) by the
Customer entitling Alpes Hélicoptères to payment of the amounts provided for in this article (in particular a Cancellation Fee of an amount
equivalent to one hundred percent (100%) of the Price). If Alpes Hélicoptères nonetheless agrees to carry out the Flight(s), the Customer shall pay to
Alpes Hélicoptères all additional costs caused by the delay of the Passengers and Alpes Hélicoptères shall fix a new departure time for
(which may be postponed to the following day or to the next day on which the airport is open). Alpes Hélicoptères is in no way
liable for any Damage resulting from such a change.

7.2 If the Customer or the Passengers cancel the Flight(s) (other than an Internet Flight), the Customer agrees to pay Alpes Hélicoptères the following cancellation fees
(the "Cancellation Fees"):
(i) if the cancellation is received by Alpes Hélicoptères more than thirty (30) days before the departure of the first Flight:
no cancellation fee;

(ii) if the cancellation reaches Alpes Hélicoptères between thirty (30) and fifteen (15) days before the departure of the first Flight: fifty percent (50%) of the Price; or

(iii) if the cancellation reaches Alpes Hélicoptères less than fifteen (15) days before the departure of the first Flight: one hundred percent (100%) of the
Price.

7.3 As Internet Flights are non-refundable, in the event of cancellation of an Internet Flight at any time by the Customer or Passengers, the Cancellation Fee
is equivalent to one hundred percent (100%) of the Price.

7.4 In the event of cancellation of the Flight(s), the Customer further agrees to indemnify Alpes Hélicoptères for (i) all costs incurred by Alpes
Hélicoptères in connection with the Additional Services relating to the Flight(s) and (ii) any other Damage incurred by Alpes
Hélicoptères in connection with such cancellation.


7.5 If the Price has not yet been paid by the Customer at the time of cancellation, the Customer must pay Alpes Hélicoptères the applicable Cancellation Fees
and all the amounts referred to in article 7.4 within two (2) working days of the cancellation. If the Price has already been paid by
the Customer at the time of cancellation, Alpes Hélicoptères must reimburse the Price to the Customer, after deduction of the applicable Cancellation Fees,
of all amounts referred to in Article 7.4 and of all other sums owed by the Customer and/or the Passengers to Alpes Hélicoptères.


7.6 No partial cancellation (in particular, the cancellation of a Flight if the Flight Confirmation covers several Flights) may occur at any
time, subject to the prior written consent of Alpes Hélicoptères. In the event of partial cancellation, the full Price (and all
other amounts owed by the Customer and/or Passengers under the Contract of Carriage) shall remain payable and no part thereof shall be
reimbursed by Alpes Hélicoptères.


7.7 In general, in the event of failure by the Customer and/or Passengers to perform any of their obligations under the
Transport Contract, or delay by the Customer and/or Passengers in the performance of said obligations, for whatever reason, Alpes
Hélicoptères shall be entitled, at its sole discretion, to treat such failure or delay as a cancellation of the Flight(s) entitling
Alpes Hélicoptères to payment of the amounts provided for in this article (including any applicable Cancellation Fees).

8. Operational constraints

8.1 Le Client et les Passagers reconnaissent et acceptent que tous les Vols sont soumis aux contraintes suivantes (collectivement, les
“Evènements Défavorables”) :
(i) Tous les Vols sont soumis aux créneaux aéroportuaires, aux droits de trafic et aux autorisations de décollage, de survol,
d’atterrissage et de parking.

(ii) Tous les Vols peuvent être affectés par des évènements de force majeure tels que les conditions météorologiques (qu’Alpes
Hélicoptères apprécie à sa seule discrétion), les grèves ou les litiges de droit du travail (qu’ils impliquent ou non les employés d’Alpes
Hélicoptères), les défaillances/pannes techniques, les risques relatifs à la sécurité, les pénuries de matériaux ou composants
indispensables, les décisions ou les actions ou l’absence de décisions ou d’actions de la part d’autorités ou de tiers, le respect du
droit national et international ainsi que par toute autre cause échappant au contrôle raisonnable d’Alpes Hélicoptères.

(iii) Le commandant de bord est seul maître à bord en tout temps et a tous pouvoirs à sa seule discrétion concernant toutes les
questions relatives à l’opération de l’Aéronef. En particulier, si, selon la seule appréciation du commandant de bord, la sécurité du
Vol apparaît compromise (notamment en raison des conditions météorologiques), il peut alors mettre fin au Vol, l’annuler ou
effectuer un déroutement.

(iv) Le nombre de Passagers admissible à bord de l’Aéronef peut être inférieur au nombre de places disponibles en cabine.

(v) Alpes Hélicoptères (ou le commandant de bord) peut refuser le transport (ou la continuation du transport), et peut annuler ou
arrêter tout Vol si :
(a) une telle action est nécessaire pour des raisons de sécurité ;
(b) une telle action est nécessaire afin d’empêcher une violation de toute loi, réglementation ou directive (notamment celles
des Etats de départ, de destination et de survol) ; ou6
(c) le comportement, l’âge ou l’état mental ou physique d’un Passager est tel qu’il (i) requiert une assistance spéciale d’Alpes
Hélicoptères, (ii) génère une gêne ou constitue un comportement répréhensible à l’égard des autres Passagers ou (iii)
constitue un danger ou un risque pour lui-même ou pour d’autres personnes ou biens (cela inclut toute situation où un
Passager met en danger la sécurité de l’Aéronef ou de toute personne ou bien à bord, empêche l’équipage de remplir ses
fonctions à bord, ne se soumet pas aux instructions de l’équipage, utilise un langage menaçant, offensant ou insultant à
l’égard de l’équipage ou se comporte de manière déplacée, imprévisible, dangereuse ou agressive (notamment en raison de
la consommation d’alcool) à l’égard de l’équipage ou des autres Passagers).

8.2 Sous réserve des éventuelles dispositions légales impératives contraires applicables en la matière, en cas de retard dans l’exécution, de
déroutement, d’annulation ou d’arrêt d’un Vol par Alpes Hélicoptères (ou dans le cas où Alpes Hélicoptères est autrement empêchée
d’accomplir, ou retardée dans l’accomplissement de, ses obligations en vertu du Contrat de Transport) en raison, en totalité ou en partie,
d’un Evènement Défavorable :
(i) Alpes Hélicoptères ne saurait être considérée comme étant en violation de ses obligations, ni assumer une responsabilité
quelconque à l’égard du Client et/ou des Passagers.

(ii) Si un Vol est dérouté en raison d’un Evènement Défavorable et que l’Aéronef atterrit par conséquent dans un aéroport autre que
celui indiqué comme aéroport d’arrivée dans la Confirmation de Vol, le Vol sera considéré comme achevé et les Passagers seront
seuls responsables d’atteindre leur destination finale à leurs frais ou aux frais du Client. Aucun remboursement ne sera effectué par
Alpes Hélicoptères.

(iii) Si un Vol est annulé ou arrêté avant son achèvement en raison, en totalité ou en partie, d’un Evènement Défavorable imputable au
Client ou à un Passager (en particulier, le comportement d’un Passager), Alpes Hélicoptères aura droit au paiement des montants
prévus à l’article 7 (y compris les Frais d’Annulation applicables) comme si le Vol avait été annulé par le Client ou les Passagers, ainsi
qu’au paiement des frais supplémentaires occasionnés par un tel Evènement Défavorable.

(iv) Si un Vol est annulé ou arrêté avant son achèvement en raison, en totalité ou en partie, d’un Evènement Défavorable non imputable
au Client ou à un Passager, Alpes Hélicoptères et le Client pourront (et devront, dans le cas d’un Vol Internet) convenir de reporter le
Vol à une date ultérieure. Dans ce cas, Alpes Hélicoptères aura le droit de facturer au Client (en sus du Prix) :
(a) les frais encourus par Alpes Hélicoptères en relation avec une telle annulation ou arrêt et un tel report ; et
(b) les frais relatifs (i) à tout vol de positionnement déjà effectué ou à effectuer (en particulier pour ramener l’Aéronef à sa
base d’attache), (ii) à tous les Vols déjà effectués, (iii) au(x) Vol(s) nécessaire(s) pour ramener les Passagers à leur aéroport
de départ et (iv) à toute Prestation Supplémentaire.

(v) Si un Vol (autre qu’un Vol Internet) est annulé ou arrêté avant son achèvement en raison, en totalité ou en partie, d’un Evènement
Défavorable non imputable au Client ou à un Passager, et que les parties ne conviennent pas de reporter le Vol à une date
ultérieure, Alpes Hélicoptères remboursera au Client tous les paiements déjà reçus en relation avec ce Vol, autres que :
(a) les frais encourus par Alpes Hélicoptères en relation avec une telle annulation ou arrêt ; et
(b) les frais relatifs (i) à tout vol de positionnement déjà effectué ou à effectuer (en particulier pour ramener l’Aéronef à sa
base d’attache), (ii) à tous les Vols déjà effectués, (iii) au(x) Vol(s) nécessaire(s) pour ramener les Passagers à leur aéroport
de départ et (iv) à toute Prestation Supplémentaire,
pour lesquels Alpes Hélicoptères aura le droit de facturer le Client.

8.3 Sous réserve des éventuelles dispositions légales impératives contraires applicables en la matière, si, en raison d’un Evènement Défavorable,
l’Aéronef désigné dans la Confirmation de Vol est remplacé par un autre aéronef (l’“Aéronef de Remplacement”) avant l’achèvement d’un
Vol (de sorte que ce Vol n’est ni annulé, ni arrêté, ni reporté conformément à l’article 8.2), les dispositions suivantes s’appliquent au vol (ou à
la partie de vol) effectué par l’Aéronef de Remplacement (le “Vol de Remplacement”) :
(i) Alpes Hélicoptères ne saurait être considérée comme étant en violation de ses obligations, ni assumer une responsabilité
quelconque à l’égard du Client et/ou des Passagers (en particulier en relation avec le changement d’aéronef).

(ii) Si l’Aéronef de Remplacement fait partie de la flotte d’Alpes Hélicoptères, (i) le Client paiera à Alpes Hélicoptères tous les frais
supplémentaires occasionnés par le changement d’aéronef et (ii) l’Aéronef de Remplacement sera réputé être l’“Aéronef” pour le
Vol de Remplacement.

(iii) Si l’Aéronef de Remplacement ne fait pas partie de la flotte d’Alpes Hélicoptères, (i) Alpes Hélicoptères n’assumera aucune
obligation ou responsabilité quant au Vol de Remplacement et ne sera notamment pas assimilée à un transporteur contractuel pour
ce Vol de Remplacement, (ii) une nouvelle confirmation de vol sera émise (qui sera soumise aux termes des Conditions de
Réservation de Vols Tiers, qui sont disponibles sur le Site Internet), (iii) la partie du Prix payée par le Client qui aurait dû lui être
remboursée conformément à l’article 8.2 (si le Vol de Remplacement n’avait pas été effectué) sera déduite du prix payable selon la
nouvelle confirmation de vol, et (iv) le Client devra payer à Alpes Hélicoptères tous les frais supplémentaires occasionnés par ce
changement de transporteur et d’aéronef.
Pour éviter tout doute, Alpes Hélicoptères n’a aucune obligation de trouver un Aéronef de Remplacement et d’organiser un Vol de
Remplacement.

8.4 Le Client s’engage à rembourser à Alpes Hélicoptères tous les frais supplémentaires générés par tout Evènement Défavorable (notamment en
cas de changement ou retard dans le(s) Vol(s)).

8.5 De façon générale, Alpes Hélicoptères a le droit de modifier en tout temps les informations concernant le(s) Vol(s) et indiquées dans la
Confirmation de Vol, et ce, sans qu’Alpes Hélicoptères n’ait à assumer une quelconque obligation ou responsabilité à l’égard du Client ou des
Passagers. En particulier :
(i) Alpes Hélicoptères peut changer la société de handling et/ou l’équipage.

(ii) Alpes Hélicoptères peut modifier les heures de départ et d’arrivée, notamment du fait des conditions météorologiques, des
créneaux aéroportuaires, des droits de trafic ou des autorisations de décollage, de survol, d’atterrissage et de parking.

(iii) La durée de vol est donnée à titre indicatif uniquement et peut être adaptée, notamment du fait des conditions météorologiques ou
des ordres des services de contrôle de la circulation aérienne.

(iv) Alpes Hélicoptères peut adapter l’itinéraire, notamment du fait des conditions météorologiques ou d’autres raisons opérationnelles,
et peut y inclure une escale.

9. Liability of Alpes Hélicoptères

9.1 Subject to any applicable mandatory legal provisions to the contrary (in particular the Warsaw Convention, the
Montreal Convention and the EC Regulations), all liability of Alpes Hélicoptères, regardless of cause or basis, in
relation to the Flight(s), the Additional Services, the Contract of Carriage, any Service Contract and the services of Alpes
Hélicoptères is excluded. Specific notices appear above regarding Alpes Hélicoptères' potential liability under the
Warsaw Convention, the Montreal Convention and/or the EC Regulations.

9.2 In all cases, any liability of Alpes Hélicoptères for consequential damages, or loss of revenue or profits, is excluded.

9.3 Without prejudice to the generality of the foregoing, Alpes Hélicoptères shall in no event be liable for any worsening or
deterioration of the Customer's and/or Passengers' state of health during or following any Flight.

9.4 Subject to any applicable mandatory legal provisions to the contrary, Alpes Hélicoptères has no obligation
to pay to the Customer or Passengers any amount other than the amounts expressly provided for in these Conditions of Carriage.

9.5 All exclusions, waivers or limitations of liability or obligations contained in the Contract of Carriage in favor of Alpes
Hélicoptères shall also apply in favor of the partners, subsidiaries (and other members of the group), officers, directors, managers,
employees, beneficial owners, agents, representatives, mandataries, auxiliaries, servants, successors, assignees and assigns
of Alpes Hélicoptères, to the maximum extent permitted by applicable law.

10. Customer and Passenger liability

10.1 The Customer and the Passengers are jointly and severally liable and must indemnify Alpes Hélicoptères, its partners, subsidiaries (and other members
of the group), officers, directors, managers, employees, beneficial owners, agents, representatives, mandataries,
auxiliaries, servants, successors, assignees and assigns of Alpes Hélicoptères, as well as all third parties (including any Owner,
lessee or financier of the Aircraft) (collectively, including Alpes Hélicoptères, the "Indemnitees"), for all direct Damages or
indirect Damages:
(i) which the Customer, any Passenger or any Passenger's animal may cause to any Indemnitee, to the Aircraft (including its exterior or interior
parts) or to any other property in connection with the Flight(s) (and/or any Additional Services);

(ii) which may result, directly or indirectly, from a Passenger's inappropriate behavior during boarding,
disembarkation or on board the Aircraft (or during any Additional Services);

(iii) which may result, directly or indirectly, from a breach by the Customer or any Passenger of the Contract of Carriage (or of
the Notice to Passengers or of the Summary of the provisions on the air carrier's liability towards Passengers and their
Baggage as set out below), of any Service Contract or of any other contract; or

(iv) which may result, directly or indirectly, from a violation by the Customer or any Passenger of the laws, regulations and
directives of the States of departure, destination and overflight (in particular immigration or customs regulations)
or of the rules, directives and instructions issued by the airport authorities and/or Alpes Hélicoptères (in particular in relation
to the embarkation and disembarkation of Passengers).

10.2 Without prejudice to the generality of the foregoing and subject to any applicable mandatory legal provisions
to the contrary, the Customer shall be liable, and shall indemnify any Indemnitee, for any claim of any kind whatsoever by any
Passenger or any person connected with a Passenger.

11. Personal data

11.1 All personal data of the Customer and Passengers are collected and processed by Alpes Hélicoptères in accordance with the
privacy policy of Alpes Hélicoptères, which can be consulted on the Web Site (the "Privacy Policy").

11.2 The Customer confirms that he/she has read the Privacy Policy and expressly accepts all of its terms. The Customer also confirms that it has submitted
the Privacy Policy to all Passengers, that they have read it and expressly accept all of its terms.

11.3 Without prejudice to the generality of the foregoing:
(i) The Customer expressly authorizes, and confirms that the Passengers expressly authorize, Alpes Hélicoptères to collect the
PNR Data and to transfer it to any third party service provider (including any handling agent) insofar as such transfer is
necessary for the performance of the Flight(s) or the provision of the Additional Services.

(ii)
For security and immigration purposes, the authorities of certain countries may require Alpes Hélicoptères to transfer
data concerning Passengers and their travel. The Customer expressly authorizes, and confirms that the Passengers expressly authorize
, Alpes Hélicoptères to transfer the required PNR Data to the said authorities.

(iii)
The Customer and the Passengers expressly acknowledge and accept that PNR Data may be transferred to States where
the level of protection of personal data is not equivalent to that offered by the State of residence of the Customer and/or the Passengers.

(iv)
The Customer expressly authorises, and confirms that the Passengers expressly authorise, Alpes Hélicoptères to collect
information relating to the choices, preferences and tastes of the Customer and Passengers (in particular specific requests in
terms of catering) with a view to improving the quality of the service provided to the Customer and Passengers (Alpes Hélicoptères may
in particular communicate this information to any future carrier of the Customer and/or Passengers).

(v)
Alpes Hélicoptères assumes no liability for any violation of data protection rules by any
person or authority to whom Alpes Hélicoptères may transfer the Customer's and/or Passengers' personal data.
The
Customer and the Passengers waive any claim against Alpes Hélicoptères in this respect.

11.4 In accordance with the French Data Protection Act no. 78-17 of January 6, 1978, as amended or supplemented from time to time, the Customer and the Passengers have the right to access and rectify their personal data at
. This right may be exercised by contacting Alpes Hélicoptères at the following e-mail address:
contact@alpes-helico.com.

12. Miscellaneous

12.1 The Customer may not assign the Transport Contract to anyone without the prior written consent of Alpes Hélicoptères.

12.2 No modification of the Transport Contract will be effective without the prior written consent of Alpes Hélicoptères.

12.3 The Contract of Carriage contains the entire agreement between Alpes Hélicoptères and the Customer with respect to its subject matter, and supersedes any
prior negotiations, discussions or agreements, oral or written, express or implied between the parties (including any offer or quotation sent to
Customer).

12.4 In the event of any inconsistency between the terms of the Flight Confirmation and these Conditions of Carriage, the terms of the Flight Confirmation
shall prevail.

12.5 When the consent of Alpes Hélicoptères is required under the terms of the Contract of Carriage, Alpes Hélicoptères may give or refuse such
consent at its sole discretion, without incurring any liability whatsoever.

12.6 By booking the Flight(s), the Customer confirms that he/she and all Passengers are proficient in the French language.

13. Applicable law and place of jurisdiction

13.1 The Contract of Carriage shall be governed by and construed in accordance with the laws of France (excluding its conflict of laws rules).

13.2 Any dispute, controversy or claim arising out of or in connection with the Contract of Carriage, including but not limited to the validity, invalidity,
breach or termination of the Contract of Carriage, shall be subject to the exclusive jurisdiction of the courts of Annecy, France (without prejudice
to available remedies). The foregoing shall not prevent Alpes Hélicoptères from bringing an action against the Customer and/or the
Passengers before any other competent court.

13.3 Imperative legal provisions to the contrary concerning applicable law and place of jurisdiction (in particular those of the Warsaw Convention, the
Montreal Convention and the EC Regulations) remain reserved.

Notice to Passengers

(In accordance with art. 3 al. 1 let. c of the Warsaw Convention,
art. 3 al. 4 of the Montreal Convention and art. 6 al. 2 of the EC Regulation)

The Warsaw Convention, the Montreal Convention and/or the EC Regulations may apply to Passenger travel. These instruments govern
and may limit the liability of air carriers in the event of death or injury, delay as well as destruction, loss or
damage to Baggage.

Where the Montreal Convention and/or EC Regulations apply, the liability limits are as follows:
(1) There are no financial limits in the event of death or injury. For damages exceeding the limit of 113,100 SDRs per Passenger, the
air carrier may defend itself against a claim by proving that it was not negligent or otherwise at fault.

(2) In the event of destruction, loss, damage or delay to Baggage: 1,131 SDRs per Passenger in most cases.

(3) In the event of damage resulting from a delay in travel: 4,694 SDR per Passenger in most cases.

Where the Warsaw Convention applies, the limits of liability are as follows:
(1) In the event of death or injury as well as damage resulting from delay in travel: 16,600 SDR per Passenger in most
cases.

(2) In the event of destruction, loss, damage or delay to Baggage: 17 SDR per kilogram for
checked Baggage and 332 SDR per Passenger for unchecked Baggage.

Regardless of the Convention/ Regulations applicable to the journey in question, Passengers may benefit from a higher limit of liability in the event
of destruction, loss, damage or delay to their Baggage(s), by making a special declaration of interest, at the latest at
time of check-in and by paying any additional fee. Alternatively, if the value of the Baggage exceeds the
applicable liability limit, the Passenger must fully insure it before travel.

Summary of provisions on air carrier liability to Passengers and their Baggage

This information note summarizes the liability rules applied by Community air carriers as required by
Community legislation and the Montreal Convention, in cases where these instruments are applicable to Passenger travel.

Compensation in the event of death or injury
There is no financial limit to liability in the event of injury or death of a Passenger. For any damage up to
113'100 DTS, the air carrier cannot contest claims for compensation. Above this amount, the air carrier may defend itself
against a claim by proving that it was not negligent or otherwise at fault.

Advance payments
In the event of death or injury of a Passenger, the air carrier must make an advance payment to cover immediate economic needs within
fifteen days of the identification of the person entitled to compensation. In the event of death, this advance payment may not be less than
16'000 DTS.

Passenger delay
In the event of Passenger delay, the air carrier is liable for damages, unless it has taken all reasonably possible measures
to avoid them or it was impossible to take such measures. Liability for Passenger delay is limited to 4,694 SDRs.

Baggage delay
In the event of Baggage delay, the air carrier is liable for damages, unless it took all reasonable measures to avoid the delay or if it was impossible to take such measures
. Liability for Baggage delay is limited to 1'131 SDRs.

Destruction, loss or damage to Baggage
The air carrier is liable for destruction, loss or damage to Baggage up to 1'131 SDRs. In the case of
checked Baggage, it is liable even if it is not at fault, unless the Baggage was defective. In the case of unchecked Baggage, the
carrier is liable only if at fault.

Higher liability limits for Baggage
A Passenger may benefit from a higher liability limit by making a special declaration at the latest at check-in
and paying an additional fee.

Complaints concerning Baggage
In the event of damage, delay, loss or destruction of Baggage, the Passenger concerned must complain in writing to the air carrier as soon as
possible. In the event of damage to Checked Baggage and in the event of delay in the delivery of Baggage, Passengers must complain in writing to
within seven days and twenty-one days respectively from the date on which the Baggage was placed at their disposal.

Respective liability of the carrier with which a contract has been concluded and the actual carrier
If the air carrier operating the flight is not the same as the one with which a contract has been concluded, the Passenger has the right to address a complaint
or a claim to either of them. If the name or code of an air carrier appears on the ticket, this carrier is the one with which a contract has
been concluded.

Time limit for recourse
Any action for damages must be brought within two years of the date of arrival of the aircraft, or of the date on which the aircraft should
have landed.

Basis for the above rules
The rules described above are based on the Montreal Convention, implemented in the Community by the EC Regulation and by the national legislation
of the Member States.
